Sale of Partnership to Corporation

Buyer desires to purchase all of the right, title and interest in and to seller and its assets of whatsoever kind and nature and wheresoever located and the seller, by and through its partners, desire to sell all right, title and interest in and to sellers name, identity, and its assets of whatsoever kind and nature and wheresoever located. Subject to the conditions precedent seller agrees to sell, convey and transfer to buyer and buyer does hereby agree to purchase the seller for the purchase price set forth in the Agreement. (more...)
